Standard business LLC service fee. A Wyoming anonymous LLC (Invisible Investor) is $995 plus the $100 Wyoming state filing fee, an estimated $1,095 in total. If your CPA is discussing an S-election, the Lean S-Corp Optimizer is $995 plus applicable state filing fees.

State and government filing fees, registered-agent renewals, annual state reports, bank charges and any attorney or CPA work are separate and paid to those providers directly. Government fees are set by the state and can change.

Structure options

Standard, separated or privacy-oriented

Which one is appropriate is a legal question. Here is how they differ in plain terms so the conversation with your attorney is a shorter one.

Standard home-state LLC

Formed in the state where the business actually operates. Simplest to maintain, one set of annual obligations, and usually the right answer for a service business or a single local property.

Holding and operating separation

An operating company for revenue-generating activity, and a separate entity that holds assets. Used where an owner wants activity and assets in different boxes. The benefit depends entirely on how the entities are actually run.

Privacy-oriented formation states

Some states require less public disclosure of members or managers, and some owners choose them for that reason. This affects public records, not liability outcomes, and it can add a foreign-registration requirement in your operating state. Discuss it with your attorney before choosing.

No entity structure guarantees protection from creditors, lawsuits or taxes. The results depend on facts, state law and how the entity is operated day to day.

Preparation

Information we will need

  • Preferred company name and one or two alternatives
  • Formation state and the state(s) where the business will operate
  • Full legal names and addresses of all members, and ownership percentages
  • Business address, and whether you need registered-agent coordination
  • A plain description of the intended business activity
  • Desired effective date
